Terms of service
Agreement
Payment of this invoice, or use of the photographs, constitutes agreement to these terms.
Payment. Amount due is payable upon receipt unless a different due date is stated on this invoice. A deposit may be required to reserve the production date and is applied to the final invoice. Overdue balances may accrue 1.5% per month, or the maximum allowed by law, plus reasonable collection costs.
Estimates. Fees and expenses are based on the job as described. Changes in scope, schedule, usage, or the number of licensees may change the fee. Approval of an estimate, joining a cost-share, or payment constitutes an order on these terms.
Cancellation and postponement. If the client cancels or postpones, the photographer may bill for time and expenses already incurred. Cancellation within two business days of the shoot, or after travel has begun, may be billed at the full creative fee plus expenses if the date cannot reasonably be rebooked.
Copyright. The photographer retains copyright in all photographs. Nothing in this invoice is a work-for-hire or an assignment of copyright. The client receives only the license stated on this invoice.
License. Use is limited to the media, duration, territory, and exclusivity granted to the named licensee. Additional use, paid advertising (unless included), exclusivity, or transfer of image files to an unlicensed party requires a separate license and fee.
Named licensee. Each client on a cost-share receives their own non-transferable license. Rights are not shared among clients and may not be assigned or sublicensed.
Credit. Photographer credit is requested wherever practical.
Delivery and files. Images are delivered as specified after payment of amounts then due. The photographer may keep copies but is not obligated to archive files after delivery.
Client representation. The client or agency is responsible for the presence of an authorized representative at the shoot to approve the photographer’s interpretation of the project. If a representative is not present, the photographer’s interpretation shall be deemed accepted.
Reshoots. If a reshoot is required because of photographer error, the creative fee is not billed again; the client pays additional expenses. If a reshoot is required for any other reason, including weather, access, or client request, fees and expenses apply.
Indemnity. The client indemnifies the photographer against claims arising from the client's use of the photographs, including claims of defamation, privacy, publicity, or trademark.
Limitation of liability. The photographer's liability under this invoice is limited to fees actually paid for this production. The photographer is not liable for incidental or consequential damages, including lost profits, delay, or loss of files after delivery.
Governing law. This agreement is governed by the copyright laws of the United States (Title 17, U.S. Code) and the laws of the photographer's principal place of business. Acceptance of the images or payment of this invoice constitutes agreement to these terms.
